1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and VERSONA DIGITAL LTD ("the Company", "we", "us"), a company registered in Cyprus (Registration Number: HE 490964), operating the ReallyYou platform (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and all other policies incorporated by reference.

IMPORTANT: This Platform contains adult content intended only for persons aged 18 years or older. By using this Platform, you confirm that you are at least 18 years old and that accessing adult content is legal in your jurisdiction.

2. Platform Description and Agency Relationship

2.1 Service Description

ReallyYou is a demand-first adult content platform where users post paid content requests that creators choose to fulfill. The Platform operates four revenue streams:

1. Group-Funded Requests (requests that any number of Supporters may back and any number of Creators may answer)
2. Creator Scripts
3. Pay-Per-View Library Content
4. Direct Private Requests

2.2 Agency Agreement Structure

IMPORTANT LEGAL NOTICE: The Company operates as a commercial payment facilitator and intermediary platform. The Company is NOT a party to transactions between Supporters and Creators. All content transactions are contracts directly between the Supporter (purchaser) and the Creator (provider).

Specifically, the Company:

• Acts solely as a payment collection agent on behalf of Creators
• Is NOT responsible for the actual provision of content or fulfillment of requests
• Does NOT authorize or control how or when Creators provide their content
• Is NOT liable for Creator-provided content or services
• Holds Supporter contributions until the Supporter spends them by unlocking content; funds are not released to a Creator before their content is unlocked

When a Supporter makes a payment, they are purchasing content directly from the Creator, with the Company facilitating the transaction.

3. Eligibility Requirements

3.1 Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to access or use this Platform. By using the Platform, you represent and warrant that you meet this age requirement. We employ age-assurance measures - age attestation for all users at registration and identity and age verification (KYC) for Creators - and reserve the right to request proof of age at any time. Accounts of users discovered to be underage will be immediately terminated.

3.2 Legal Capacity

You must have the legal capacity to enter into binding contracts. By using this Platform, you represent that you are not barred from using the services under applicable law.

3.3 Jurisdictional Restrictions

You are responsible for ensuring that accessing adult content is legal in your jurisdiction. We may restrict access from certain regions. Using the Platform where prohibited by law violates these Terms.

4. Account Registration

4.1 Account Types

The Platform offers two account types:

• Supporter Accounts: Users who browse, post requests, and purchase content.
• Creator Accounts: Users who fulfill requests and monetize content. Creator status requires additional verification.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must immediately notify us of any unauthorized access or security breach. We are not liable for losses resulting from unauthorized use of your account.

4.3 Creator Verification (KYC)

Before monetizing content, Creators must complete identity verification (Know Your Customer/KYC), including:

• Government-issued photo identification
• Proof of address (utility bill or bank statement)
• Tax identification information
• Age verification confirming 18+ status

This information is processed securely and retained as required by law.

5. User Conduct

All users agree to comply with our Community Guidelines and the following conduct rules:

• No Illegal Activity: Do not use the Platform for any unlawful purpose.
• No Minor-Related Content: Absolutely no content depicting, suggesting, or involving individuals under 18. This includes roleplay scenarios suggesting underage participants.
• No Non-Consensual Content: All depicted individuals must have provided informed consent.
• No Platform Abuse: Do not attempt to circumvent security measures, access unauthorized areas, or interfere with Platform operations.
• No Harassment: Treat other users with respect. Harassment, stalking, or abusive behavior is prohibited.
• No Fraud: Do not engage in fraudulent activities, impersonation, or deceptive practices.

6. Content and Intellectual Property

6.1 Creator Content Ownership

Creators retain ownership of intellectual property in their original content. By uploading content, Creators grant the Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as compression or thumbnail generation), display, and distribute content on the Platform. This license terminates when content is removed or the account is deleted (allowing reasonable time for cache clearing).

6.2 Creator Warranties

By uploading content, Creators represent and warrant that:

• They own all necessary rights or have obtained all required permissions
• The content does not infringe any third party's rights
• All individuals depicted are adults (18+) who have provided consent
• The content complies with all applicable laws and these Terms
• They maintain required 2257 records for all explicit content

6.3 License to Supporters

When Supporters purchase content, they receive a limited, personal, non-transferable license to view that content for personal entertainment only. Supporters do NOT obtain any ownership or commercial rights. Redistribution, copying, or sharing of purchased content is strictly prohibited and constitutes copyright infringement.

7. Payment Terms

7.1 Request and Purchase Flow

The Platform operates a demand-first model:

1. A Supporter posts a content request describing the desired content and puts an amount of money on it (their contribution)
2. Other Supporters may add their own contributions to the same request while it is open; requests have no fixed funding goal
3. Contributions are collected and held by the Platform and are not transferred to any Creator at this stage
4. Any Creator may answer an open request by uploading a video with a public trailer; multiple Creators may answer the same request
5. A Supporter may unlock an answer at any time using their contributions; upon unlock, the unlock price is released to that Creator (minus the Platform fee)
6. The Creator receives payment on scheduled payout cycles; answer videos also remain available on the Creator's profile as pay-per-view content

7.2 Platform Fees

• The Platform retains a service fee of approximately 20% of each transaction
• Creators receive approximately 80% of payment amounts
• Exact percentages are communicated in Creator onboarding and may be adjusted with notice
• Transaction fees charged by payment processors may apply

7.3 Payout Terms

• Payouts are processed on a Net-14 cycle (14 days after funds clear)
• Minimum payout threshold of €50 applies
• Payouts require completed KYC verification and valid payout method
• The Company reserves the right to hold payouts for up to 90 days in cases of suspected fraud or policy violations

7.4 Taxes

Creators are responsible for reporting and paying applicable taxes on their earnings. The Company may withhold taxes where required by law. Users may be responsible for VAT or other taxes on purchases as required by local law.

8. Refunds and Chargebacks

See our Return and Refund Policy for complete refund terms. Generally, all sales are final once content is delivered. Unjustified chargebacks may result in account termination and recovery of losses from Creator earnings where applicable.

9. Content Moderation

We reserve the right to review, moderate, and remove content that violates these Terms. See our Community Guidelines for what is and is not permitted and how reports are reviewed and actioned.

10. Account Termination

10.1 Termination by User

You may terminate your account at any time through account settings or by contacting support. Termination does not affect obligations already incurred (including any pending transactions or outstanding payments).

10.2 Termination by Company

We may suspend or terminate accounts immediately for:

• Violations of these Terms or applicable law
• Posting prohibited content
• Fraudulent activity
• Repeated chargebacks
• Failure to complete required verification

We may also terminate accounts with notice for any reason.

10.3 Effect of Termination

Upon termination:

• Access to the Platform ceases
• Content may be removed
• Pending Creator payouts will be processed (subject to any holds)
• Supporters lose access to previously purchased content if their account is terminated for cause

Certain Terms survive termination (see Section 15).

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

User content represents the views of Creators, not the Company. We do not endorse any content or verify its accuracy.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) THE FEES YOU PAID TO US IN THE 6 MONTHS PRECEDING THE CLAIM, OR (b) €100.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms
• Your content or use of the Platform
• Your violation of any law or third-party rights

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Cyprus and applicable EU law. Disputes shall be submitted to the exclusive jurisdiction of the courts of Cyprus. EU consumers may also access the EU Online Dispute Resolution platform (ec.europa.eu/odr).

We encourage you to contact us first to seek informal resolution of any dispute.

15. General Provisions

• Severability: If any provision is found unenforceable, remaining provisions continue in effect.
• No Waiver: Failure to enforce any provision does not waive our right to do so later.
• Entire Agreement: These Terms, together with referenced policies, constitute the entire agreement.
• Assignment: You may not assign your rights under these Terms. We may assign our rights to a successor entity.
• Independent Contractors: Creators are independent contractors, not employees or agents of the Company.
• Survival: Provisions regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or prominent Platform notice. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Platform.
